1. Acceptance of Terms

Welcome to Chatnest. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our service.

Chatnest provides an AI-powered chatbot platform that allows you to create, train, and deploy chatbots using your own content.

2. Account Registration and Security

2.1 Creating an Account

To use Chatnest, you must:

• Be at least 18 years old
• Provide a valid email address
• Create a secure password OR sign in with Google
• Provide accurate account information

2.1.1 Sign in with Google

You may choose to create an account and sign in using your Google account ("Sign in with Google"). When you use this option:

• You authorize Chatnest to access your basic Google profile information (email, name, profile picture)
• Your email address will be automatically verified by Google
• You can revoke Chatnest's access to your Google account at any time through your Google Account settings
• If you revoke access, you can still access your account by setting a password
• You remain responsible for all activity under your account, regardless of sign-in method

Important: By using Sign in with Google, you also agree to Google's Terms of Service and Privacy Policy. Chatnest's use of information received from Google APIs adheres to Google API Services User Data Policy, including the Limited Use requirements.

2.1.2 Connect with Notion

You may choose to connect your Notion workspace to import content for training your chatbots ("Connect with Notion"). When you use this option:

• You authorize Chatnest to access the Notion pages and databases you select
• Content from selected pages will be imported and used to train your chatbot
• You can disconnect Notion at any time from your bot's settings
• You can also revoke access from your Notion integrations page
• You are responsible for ensuring you have the right to use and share the Notion content you import

Important: By connecting Notion, you also agree to Notion's Terms of Service. You represent that you have the necessary permissions to share the selected Notion content with Chatnest for chatbot training purposes.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

3. Acceptable Use

3.1 Permitted Use

You may use Chatnest to:

• Create and manage AI chatbots
• Upload documents to train your chatbots
• Import content from connected third-party services (e.g., Notion) to train your chatbots
• Generate chatbot responses for your users
• Manage your subscription and billing

3.2 Prohibited Activities

You agree not to:

• Use the service for illegal purposes
• Upload content that infringes on others' rights
• Upload malicious code or viruses
• Attempt to hack or compromise the service
• Use the service to spam or harass others
• Share your account with unauthorized users
• Reverse engineer or copy our software

3.3 Content Responsibility

You are solely responsible for the content you upload and the chatbot responses generated. You must ensure your uploaded content does not violate any laws or third-party rights.

4. Subscriptions and Payments

4.1 Subscription Plans

Chatnest offers multiple subscription tiers with different features and usage limits:

• Free Plan ($0/month) - 1 bot, 150 credits/month, basic features
• Starter Plan ($19/month) - 3 bots, 2,000 credits/month
• Pro Plan ($79/month) - 10 bots, 10,000 credits/month
• Business Plan ($349/month) - 50 bots, 42,000 credits/month

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All payments are processed securely through Stripe
• Prices are subject to change with 30 days notice
• You authorize us to charge your payment method automatically

4.3 Refunds and Cancellations

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

4.4 Usage Limits

Each plan has specific limits on bots, documents per bot, file sizes, and monthly credits. Exceeding these limits may require upgrading your plan.

4.5 Credits and AI Models

Chatnest uses a credit-based system for AI-powered features. Different AI models consume different amounts of credits per message based on their capabilities and operational costs.

• Credit costs per model are subject to change - We may adjust the number of credits required for each AI model at any time to reflect changes in underlying provider costs, model capabilities, or market conditions
• Model availability may change - We may add new AI models, remove existing models, or modify model offerings as we improve our service
• Third-party AI providers - Our service relies on third-party AI providers (including OpenAI, Anthropic, and Google). Changes in their pricing, availability, or terms may affect our credit costs and model offerings

We recommend reviewing the current credit costs in your dashboard before sending messages. Your continued use of the service after any credit cost changes constitutes acceptance of the new rates.

5. Intellectual Property Rights

5.1 Chatnest's Property

Chatnest owns all rights to our platform, including code, design, logos, and features. You may not copy, modify, or distribute our intellectual property.

5.2 Your Content

You retain all rights to content you upload to Chatnest. By uploading content, you grant us a license to:

• Store and process your content
• Use AI models to generate chatbot responses
• Display your content back to you in the dashboard

We will never use your content to train AI models or share it with other users.

5.3 Generated Responses

You own the chatbot responses generated using your content, subject to these Terms and applicable law.

6. Privacy

Your use of Chatnest is governed by our Privacy Policy, which explains how we collect, use, and protect your information.

You are responsible for ensuring your use of Chatnest complies with data protection laws like GDPR and CCPA.

7. Disclaimers and Limitations

7.1 Service "As Is"

Chatnest is provided "as is" without warranties of any kind. We do not guarantee the service will be error-free, secure, or always available.

7.2 AI-Generated Content

AI-generated chatbot responses may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before using it.

7.3 Limitation of Liability

To the maximum extent permitted by law, Chatnest shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the service.

Our total liability shall not exceed the amount you paid us in the twelve (12) months before the claim.

8. Account Termination

8.1 Termination by You

You may delete your account at any time through your account settings or by contacting support.

8.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Misuse or abuse the service

8.3 Effect of Termination

Upon termination, your access to the service ends immediately. We will delete your data according to our data retention policy (typically within 30 days).

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance.

If you don't agree to the updated Terms, you must stop using Chatnest and delete your account.

10. General Terms

10.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Chatnest.

10.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

10.3 Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved in accordance with applicable law.
